SOAS CONNECT: TERMS AND CONDITIONS OF USE

These Terms and Conditions apply to the entire contents of SOAS CONNECT (http://www.soasconnect.net).

1. BACKGROUND
 
SOAS CONNECT is the SOAS University of London Career Network. The University has established this platform to provide a secure network exclusive to current students and alumni  of the University community to facilitate personal discussions, interaction, and networking.
 
2. THE CONTRACT
 
If you become a member of SOAS CONNECT, the legal entity that you are entering into a contract with is:

The School of Oriental and African Studies (otherwise known as SOAS University of London), 10 Thornhaugh Street, Russell Square, London, WC1H 0XG (the “University”)

These Terms and Conditions are binding. They govern your use of SOAS CONNECT and the University’s provision of that service to you. Please read them carefully. If these Terms and Conditions contain any provision that you are not willing to agree to, or if you feel that the  service offered by SOAS Connect will not meet your requirements, then your only course of redress will be to end your membership of SOAS CONNECT and to cease use of that service.

SOAS Connect -DEFINITIONS AND INTERPRETATIONS

"Member(s)" means valid registered users of SOAS CONNECT.

"Member Content" means all materials provided by a Member for inclusion and/or dissemination through SOAS CONNECT.

3. REGISTRATION

SOAS CONNECT -REGISTRATION

To become a Member of SOAS CONNECT you must be at least eighteen (18) years old on the date when you apply for membership – and either a registered student at the University, or a confirmed alumni of the University

You must answer fully and honestly all questions put to you on the registration form.

Membership of SOAS CONNECT is personal to you and non-transferable. Password(s) and any other credentials used to identify you as a Member are classed as confidential information and you are responsible for keeping these secure. Under no circumstances should you pass these on or share them with any third-party. You are responsible for all activities associated with your SOAS CONNECT account/login.

4. YOUR SAFETY AND SECURITY

It is important that you understand that the University cannot offer careers advice through SOAS CONNECT, neither does it offer any endorsement of any information that is made available through this service; the onus always remains on you to decide who to engage with and what use to make of that information; the University only provides the facility for you to engage with others.

If you are concerned about the behaviour of other Members or you believe others are acting in breach of these Terms and Conditions please contact careers@soas.ac.uk.

5. SOAS CONNECT Contractual obligation
 
The University does not have any contractual obligation nor moral or ethical responsibility to verify the identity of persons who register as Members or use SOAS CONNECT.

You are required to supply credentials which would identify you as a current student or alumni of the University, and both you and the University recognise that it is not beyond the means of a determined person to seek membership by using the credentials of another.

The University does not have any contractual obligation nor moral or ethical responsibility to verify Member Content (although the University reserves the right to monitor and delete Member Content if the University believes it to be appropriate).

As a Member you are:
- advised not to assume that any Member Content is accurate, complete, or reliable. A person may not be who they purport to be. Their intentions may not be honest or honourable. You should at all times exercise caution and critically appraise the completeness and quality of information made available to you through SOAS CONNECT. The University cannot be liable for false, misleading, or incomplete statements made by Members;
- solely responsible for the decisions and actions that you take, where these are based on or arise from your interpretation and/or use of Member Content, including information sources from any interactions that you have with others on SOAS CONNECT;
- solely responsible (and liable) for all Member Content that is published on SOAS CONNECT, via your Member's account, whether that content is fraudulent or otherwise. Any such activity can be grounds for suspension or deletion of your account by the University;
- responsible for the acts or omissions of any third parties who use your identification information or account, whether fraudulent or otherwise. For the avoidance of all doubt; the University shall not be liable if your credentials to access and use SOAS CONNECT are used by a third-party; and
- required to advise the University at the earliest opportunity by emailing careers@soas.ac.uk  if you suspect or find that there has been a breach (of any kind) of your SOAS CONNECT credentials.
 
6. MEMBER OBLIGATIONS
 
As a Member you agree that through your use of SOAS CONNECT you will not undertake or engage in any activities that will, or involve:
- breaching any applicable law;
- causing injury or, offence to or the defamation of others (including legal entities e.g. an employer) – this includes but is not restricted to any form of discrimination;
- the publication or further dissemination of Member Content to a third-party, without the explicit consent of the Member(s) concerned;
- acting in a manner that is contrary to the purpose of SOAS CONNECT, current rules and laws in force or acceptable norms and standards of the use of university platforms such as SOAS CONNECT.
 
7. MEMBER CONTENT
 
Through SOAS CONNECT the University puts you in control. For the avoidance of all doubt it is your responsibility to determine which information you publish or send as Member Content. You accept that the University cannot be held liable for any misuse thereof by yourself, any other Member or a third party.

The information supplied by you as a Member must to your best knowledge and belief be accurate and true. You are solely responsible for the consequences of disclosing personal  information about yourself or  other Members or individuals.

You agree to waive all recourse against the University on the basis of any possible damage to your reputation, or privacy, resulting from the dissemination of information concerning you since you have given your prior, free and express consent to such dissemination through your registration with SOAS CONNECT

The University reserves the right not to accept or to remove from SOAS CONNECT all or part of its Member Content for any reason that it deems fit.

You accept that the University cannot be held liable for Member Content or other activities carried out by you or other Members which may breach your rights, the rights of other Members or any third-party.

You are urged to notify the University of any inappropriate Member Content. You acknowledge that such notification may take place and that the University may take steps outlined in this Agreement in respect of such information which comes to the University’s attention.

You accept that the University reserves the right to irretrievably delete Member Content after any period of time where the University has found it necessary to exercise any right of termination provided through these Terms and Conditions.

8. TERMINATION
 
You may at any time and without the need to provide any reason end your registration as a member of SOAS CONNECT by requesting the closure of your SOAS CONNECT account by emailing careers@soas.ac.uk.

The University will process and conclude the termination of your membership within 10 working days of receipt of a request for termination of membership.

In the event that you breach these Terms and Conditions, the University may contact you requesting that you comply with all these Terms and Conditions and if you do not comply with all these Terms and Conditions within 10 working days of the communication requesting that you so comply being sent, the University may terminate your SOAS CONNECT account.

Without prejudice to the other provisions of these Terms and Conditions, where the University reasonably finds that you have committed a breach of these Terms and Conditions, the effect of which causes serious concern to the University, it may terminate your SOAS CONNECT account without prior notification or warning.

You will be informed by email in the event that the University terminates your SOAS CONNECT account. Your personal data will be destroyed at your request or upon expiration of any retention period required by SOAS policy or statute following the termination of your SOAS CONNECT account.

9. DATA PROTECTION
 
With reference to SOAS CONNECT, your personal data will be used to:
- process your application for membership;
- provide you with access to SOAS CONNECT; and
- allow the University to communicate with you concerning SOAS CONNECT.
 
10. THE LEGAL BASIS FOR THE PROCESSING OF YOUR PERSONAL DATA IS CONTRACT, AS DESCRIBED HEREIN.
 
The University provides SOAS CONNECT via a third-party data processor i.e. Aluminati Network Group. The University has in place the necessary contractual conditions with Aluminati Network Group to provide for the protection of your personal data. The University will pass to that third-party the details you use in creating an account with SOAS CONNECT. Those details will only be used to create an account that will enable you to make use of SOAS CONNECT.

11. LIABILITIES AND WARRANTIES
 
In no event (including the University’s own negligence) will the University be liable to you for any:
- financial losses (including, without limit, loss of revenues, profits, contracts, business or anticipated savings);
- loss of goodwill or reputation;
- Special, indirect or consequential losses; and/or
- damage to or loss of data (even if the University has been advised of the possibility of such losses).
 
12. INDEMNITY
 
As a condition of membership you agree to indemnify the University against all third-party claims and liabilities related to your breach of this agreement and/or to your use of SOAS CONNECT.

Functioning of SOAS CONNECT

The University does not guarantee that SOAS CONNECT will function without interruption or error. The University requires that SOAS CONNECT is made available 24 hours per day, 365 days per year by its third party contractor. but the University does not guarantee to you that that level of provision will be provided

Under these conditions, the University does not guarantee that SOAS CONNECT and its allied services shall function without interruption or error. In particular, the availability of SOAS CONNECT (as provided by our third-party contractor) may be interrupted at any time for the purposes of maintenance, updates or technical improvements, or to develop its content and/or presentation. Whenever possible, the University will inform you prior to maintenance work or updates.

13. ENTIRE AGREEMENT AND SEVERABILITY
 
These Terms and Conditions constitute a contract that governs the relationship between you and the University. They cancel and replace any conditions that you may have agreed to in the past, even if not directly withdrawn or amended, and constitute the entirety of your rights and obligations.

If any of the provisions of these Terms and Conditions is declared void in application of a law, a regulation, or a final decision of a court having proper jurisdiction, all other provisions shall remain fully in effect. Furthermore, failure by you or the University to take action in respect of the breach by the other of any provisions of these Terms and Conditions , shall not be interpreted as constituting a waiver by you or the University of the right to take action in future in respect of such a breach.

If any of these Terms and Conditions are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law and the unenforceable provision will be modified so as to render it enforceable and effective to the maximum extent possible in order to effect the intention of the provision.

14. CHANGES TO THESE TERMS AND CONDITIONS
 
The University may change these Terms and Conditions at any time. If any changes are made to these Terms and Conditions the changes will be published on the University’s website. and shall take effect one month after they have first been published on the website.  If you registered as a  Member after any changes are published on the University’s website you will have expressly accepted them when your SOAS CONNECT account was opened.
 
15. JURISDICTION AND APPLICABLE LAW
 
These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims)  will be governed by  and construed in accordance with the law of England and Wales.

The courts of England shall have jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms and Conditions or their subject matter or formation (including non-contractual disputes or claims).
